Honey Chat Official Terms of Service

Please read these terms and conditions carefully before using Honey Chat (“Terms”).

1. Definitions

For the purposes of these Terms:

Application means the Honey Chat application which is a decentralized application deployed on the blockchain and accessed on the Site or downloaded by You on any electronic device.

Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.

Service refers to the Application.

Site means Honey Chat's websites, including honeychat.app (and any respective sub-domain) and all associated websites linked thereto by Honey Chat

You means the individual accessing or using the Site or Service, or other legal entity on behalf of which such individual is accessing or using the Site or Service, as applicable.

2. Terms of Service

The Site provides access to the Service.

These Terms explain the terms and conditions by which You may access and use the Site and the Service. You must read these Terms carefully. By accessing or using the Site or the Service, You signify that You have read, understand, and agree to be bound by these Terms in its entirety. If You do not agree, You are not authorized to access or use the Site or the Service.

3. Eligibility

To access or use the Site or the Service, You represent that You are at least eighteen years old and have the full right, power, and authority to enter into and comply with the Terms on behalf of Yourself and any company or legal entity for which You may access or use the Site or the Service. You further represent that You are not a citizen, resident, or member of any jurisdiction or group that is subject to economic sanctions by the United States, or where Your use of the Site and the Service would be illegal or otherwise violate any applicable law. You further represent that Your access and use of the Site and the Service will fully comply with all applicable laws and regulations, and that You will not access or use the Site and the Service to conduct, promote, or otherwise facilitate any illegal or harmful activity.

Your access to and use of the Site and the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy. The Privacy Policy describes Honey Chat's policies and procedures on the collection, use and disclosure of Your personal information when You use the Site and the Service and tells You about Your privacy rights and how the law protects You. Please read the Privacy Policy carefully before using Site and the Service.

USER REGISTRATION

You are required to register Yourself to use the Service. Honey Chat reserves the right to remove, reclaim, or change any Service registration. The method to register and login in the Site or Service may be modified at any time at the sole discretion of Honey Chat.

As part of the functionality of the Site and Service, You may link Your account with online accounts You have with third-party service providers (each such account, a “Third-Party Account”) by either: (1) providing Your Third-Party Account login information through the Site or Service; or (2) allowing Honey Chat to access Your Third-Party Account, as is permitted under the applicable terms and conditions that govern Your use of each Third-Party Account.

You represent and warrant that You are entitled to disclose Your Third-Party Account login information to Honey Chat and/or grant Honey Chat access to Your Third-Party Account, without breach by You of any of the terms and conditions that govern Your use of the applicable Third-Party Account, and without obligating Honey Chat to pay any fees or making Honey Chat subject to any usage limitations imposed by the third-party service provider of the Third-Party Account.

By granting Honey Chat access to any Third-Party Accounts, You understand that (1) Honey Chat may access, make available, and store (if applicable) any content that You have provided to and stored in Your Third-Party Account (the “Social Network Content”) so that it is available on and through the Site or Service via Your account, including without limitation any contact lists; and (2) Honey Chat may submit to and receive from Your Third-Party Account additional information to the extent You are notified when You link Your account with the Third-Party Account.

Depending on the Third-Party Accounts You choose and subject to the privacy settings that You have set in such Third-Party Accounts, personally identifiable information that You post to Your Third-Party Accounts may be available on and through Your account on the Site or Service. Please note that if a Third-Party Account or associated service becomes unavailable or Honey Chat´s access to such Third Party Account is terminated by the third-party service provider, then Social Network Content may no longer be available on and through the Site or Service. You will have the ability to disable the connection between Your account on the Site or Service and Your Third-Party Accounts at any time.

PLEASE NOTE THAT YOUR RELATIONSHIP WITH THE THIRD-PARTY SERVICE PROVIDERS ASSOCIATED WITH YOUR THIRD-PARTY ACCOUNTS IS GOVERNED SOLELY BY YOUR AGREEMENT(S) WITH SUCH THIRD-PARTY SERVICE PROVIDERS.

Honey Chat makes no effort to review any Social Network Content for any purpose, including but not limited to, for accuracy, legality, or non-infringement, and Honey Chat are not responsible for any Social Network Content. You can deactivate the connection between the Site or the Service and Your Third-Party Account by contacting Honey Chat using the contact information below or through Your account settings (if applicable). Honey Chat will attempt to delete any information stored on Honey Chat´s servers that was obtained through such a Third-Party Account.

COMMITMENT TO REMOVING RESERVED PROFILES UPON REQUEST

Honey Chat has made reasonable efforts to reserve a subset of Twitter users' profiles early on in order to prevent squatting and impersonation.

This being said, any user with a reserved profile who would like to have their profile removed from the Service can request this removal by messaging the @honeychatapp handle on Twitter. This is needed in order to authenticate the owner of the Twitter handle corresponding to the reserved profile. Honey Chat agrees to remove the reserved profile of any user who messages @honeychatapp with the corresponding Twitter account.

5. Prohibited Activity

You agree not to engage in, or attempt to engage in, any of the following categories of prohibited activity in relation to Your access and use of the Site or the Service:

Any Unlawful Conduct.
Activity that violates any applicable law, rule, or regulation of the United States or another relevant jurisdiction, including (but not limited to) the restrictions and regulatory requirements imposed by U.S. law.
engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy, or any other proprietary right under Applicable Law, including sales, distribution or access to counterfeit music, movies, software or other licensed materials without the appropriate authorization from the rights holder; use of Honey Chat’s or its licensors’ intellectual property, name or logo, including use of Honey Chat’s trade, service or licensed marks, without express consent from Honey Chat or in a manner that otherwise harms Honey Chat; any action that implies an untrue endorsement by or affiliation with Honey Chat;
engage in improper or abusive practices, including, but not limited to, (a) any fraudulent act or scheme to defraud, deceive, trick or mislead; and (b) fraudulent trading.
use the Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services, or that could damage, disable, overburden, or impair the functioning of the Site or the Service in any manner;
use the Services in any way that is, in Honey Chat´s sole discretion, libelous, defamatory, profane, obscene, pornographic, sexually explicit, indecent, lewd, vulgar, suggestive, harassing, stalking, hateful, threatening, offensive, discriminatory, bigoted, abusive, inflammatory, fraudulent, deceptive or otherwise objectionable, or likely or intended to incite, threaten, facilitate, promote, or encourage hate, racial intolerance or violent acts against others;
use or access the Services to transmit or exchange digital assets that are the direct or indirect proceeds of any criminal or fraudulent activity, including terrorism or tax evasion;
impersonate another user of the Services or otherwise misrepresent Yourself;
engage or attempt to engage, or encourage, induce or assist any third party to engage or attempt to engage in any of the activities prohibited under this Section 4 or any other provision of these Terms.

6. Content and Intellectual Property, Contributions

CONTENT AND INTELLECTUAL PROPERTY

Unless otherwise indicated, the Site and the Services is proprietary property of Honey Chat and all source code, databases, functionality, smart contracts, software, website designs, audio, video, text, photographs, and graphics, trademarks, marks on the Site and the Service (“Content”) is owned by Honey Chat or its associates and is protected by intellectual property laws.You hereby grant to Honey Chat a royalty-free, fully paid-up, sublicensable (through multiple tiers), transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, copy, modify, create derivative works of, display, perform, publish and distribute, in any form, medium or manner, any content that is available to other users as a result of Your use of the Site or the Service (collectively, “Your Content”), including for promoting Honey Chat or the Services. You represent and warrant that (a) You own Your Content or have the right to grant the rights and licenses in these Terms; and (b) Your Content and Honey Chat´s use of Your Content, as licensed herein, does not and will not violate, misappropriate or infringe on any third party’s rights. Except as expressly provided in these Terms, no part of the Site or the Service, and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any purpose whatsoever, without Honey Chat´s express prior written permission.

USER GENERATED CONTRIBUTIONS

The Site and the Service, or other Users therein, may invite You to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide You with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to the Site or Service, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions"). Contributions may be viewable by other users of the Site and Service and through third-party websites. As such, any Contributions You transmit may be treated as non-confidential and non-proprietary. When You create or make available any Contributions, You thereby represent and warrant that:

The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of Your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize Honey Chat, the Site or Service, and other users of the Site or Service to use Your Contributions in any manner contemplated by the Site or Service and these Terms.
You have the written consent, release, and/or permission of each and every identifiable individual person in Your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of Your Contributions in any manner contemplated by the Site or Service and these Terms
Your Contributions are not false, inaccurate, or misleading.
Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by Honey Chat).
Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
Your Contributions are not used to harass or threaten (in the legal sense of those terms) any other person and to promote violence against a specific person or class of people.
Your Contributions do not violate any applicable law, regulation, or rule.
Your Contributions do not violate the privacy or publicity rights of any third party.
Your Contributions do not violate any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors.
Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.
Your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms, or any applicable law or regulation.

COPYRIGHT INFRINGEMENTS

Honey Chat respects the intellectual property rights of others. If You believe that any material available on or through the Site or Service infringes upon any copyright You own or control, please immediately notify Honey Chat using the contact information provided below (a “Notification”). A copy of Your Notification will be sent to the person who posted or stored the material addressed in the Notification. Please be advised that pursuant to applicable law You may be held liable for damages if You make material misrepresentations in a Notification. Thus, if You are not sure that material located on or linked to by the Site or Service infringes Your copyright, You should consider first contacting an attorney.

7. Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site and the Service ("Submissions") provided by You to Honey Chat are non-confidential and shall become Honey Chat´s sole property. Honey Chat shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to You. You hereby waive all moral rights to any such Submissions, and You hereby warrant that any such Submissions are original with You or that You have the right to submit such Submissions. You agree there shall be no recourse against Honey Chat for any alleged or actual infringement or misappropriation of any proprietary right in Your Submissions.

8. No Professional Advice

All information provided by the Site or the Service is for informational purposes only and should not be construed as professional advice. You should not take, or refrain from taking, any action based on any information contained in the Site or the Service. Before You make any financial, legal, or other decisions involving the Site or the Service, You should seek independent professional advice from an individual who is licensed and qualified in the area for which such advice would be appropriate.

9. No Warranties

The Site and the Service are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Honey Chat disclaims any representations and warranties of any kind, whether express, implied, or statutory, including (but not limited to) the warranties of merchantability and fitness for a particular purpose. You acknowledge and agree that Your use of the Site and the Service is at Your own risk. The Honey Chat does not represent or warrant that access to the Site or the Service will be continuous, uninterrupted, timely, or secure; that the information contained in the Site or the Service will be accurate, reliable, complete, or current; or that the Site or the Service will be free from errors, defects, viruses, or other harmful elements. No advice, information, or statement that Honey Chat makes should be treated as creating any warranty concerning the Site and the Service. Honey Chat does not endorse, guarantee, or assume responsibility for any advertisements, offers, or statements made by third parties concerning the Site and the Service.

Honey Chat has done its best to ensure that the Site and the Service is secure and free of errors. However, for the avoidance of doubt, You acknowledge and agree that purchases and transfers of digital assets or cryptocurrencies ("Digital Assets") made using or on the Site and the Service are at Your own risk, and that if any errors, defects, viruses, or other harmful elements result in the loss of Digital Assets, Honey Chat cannot be held responsible or liable. You further release any and all claims to Digital Assets deposited into the Site and the Service.

10. Assumption of Risk

By accessing and using the Site and the Service, You represent that You understand the inherent risks associated with using cryptographic and blockchain-based systems, and that You have a working knowledge of the usage and intricacies of Digital Assets. You further understand that the markets for these Digital Assets are highly volatile due to factors including (but not limited to) adoption, speculation, technology, security, and regulation. You acknowledge that the cost and speed of transacting with cryptographic and blockchain-based systems are variable and may increase dramatically at any time. You further acknowledge the risk that Your Digital Assets may lose some or all of their value. You further acknowledge that Honey Chat is not responsible for any of these variables or risks, does not own or control the blockchain, and cannot be held liable for any resulting losses that You experience while accessing or using the Site and the Service. Accordingly, You understand and agree to assume full responsibility for all of the risks of accessing and using the Site and the Service and interacting with the blockchain.

11. Third-Party Resources and Promotions

The Site and the Service may contain references or links to third-party resources, including (but not limited to) information, materials, products, or services or Contributions, that Honey Chat does not own or control. In addition, third parties may offer promotions related to Your access and use of the Site and the Service. Honey Chat does not endorse or assume any responsibility for any such resources or promotions. If You access any such resources or participate in any such promotions, You do so at Your own risk, and You understand that these Terms do not apply to Your dealings or relationships with any third parties. You expressly relieve Honey Chat of any and all liability arising from Your use of any such resources or participation in any such promotions.

12. Site And Service Management

Honey Chat reserves the right, but not the obligation, to: (1) monitor the Site or Service for violations of these Terms; (2) take appropriate legal action against anyone who, in Honey Chat´s sole discretion, violates the law or these Terms, including without limitation, reporting such user to law enforcement authorities; (3) in Honey Chat´s sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of Your Contributions or any portion thereof; (4) in Honey Chat´s sole discretion and without limitation, notice, or liability, to remove from the Site or Service or otherwise disable all files and content that are excessive in size or are in any way burdensome to Honey Chat's systems; and (5) otherwise manage the Site or Service in a manner designed to protect Honey Chat´s rights and property and to facilitate the proper functioning of the Site or Service.

13. Limitations Of Liability

IN NO EVENT WILL HONEY CHAT OR ITS ASSOCIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICE, EVEN IF HONEY CHAT OR ITS ASSOCIATES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification

You agree to defend, indemnify, and hold Honey Chat harmless, including its subsidiaries, affiliates, and all of its respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) Your Contributions; (2) use of the Site or Service; (3) breach of these Terms; (4) any breach of Your representations and warranties set forth in these Terms; (5) Your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Site or Service with whom You connected via the Site or Service. Notwithstanding the foregoing, Honey Chat reserves the right, at Your expense, to assume the exclusive defense and control of any matter for which You are required to indemnify Honey Chat, and You agree to cooperate, at Your expense, with Honey Chat´s defense of such claims. Honey Chat will use reasonable efforts to notify You of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

15. Term And Termination

These Terms shall remain in full force and effect while You use the Site or Service. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, HONEY CHAT RESERVES THE RIGHT TO, IN HONEY CHAT´S SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE OR SERVICE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF USE OR OF ANY APPLICABLE LAW OR REGULATION. HONEY CHAT MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SITE OR SERVICE OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN HONEY CHAT´S SOLE DISCRETION.

If Honey Chat terminates or suspends Your account for any reason, You are prohibited from registering and creating a new account under Your name, a fake or borrowed name, or the name of any third party, even if You may be acting on behalf of the third party. In addition to terminating or suspending Your account, Honey Chat reserves the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

16. Modifications And Interruptions

Honey Chat reserves the right to change, modify, or remove the contents of the Site or Service at any time or for any reason at Honey Chat´s sole discretion without notice. However, Honey Chat has no obligation to update any information on the Site or the Service. Honey Chat also reserves the right to modify or discontinue all or part of the Site or Service without notice at any time. Honey Chat will not be liable to You or any third party for any modification, price change, suspension, or discontinuance of the Site or Service.

Honey Chat cannot guarantee the Site or Service will be available at all times. Honey Chat may experience hardware, software, or other problems or need to perform maintenance related to the Site or the Service, resulting in interruptions, delays, or errors. Honey Chat reserves the right to change, revise, update, suspend, discontinue, or otherwise modify the Site or Service at any time or for any reason without notice to You. You agree that Honey Chat has no liability whatsoever for any loss, damage, or inconvenience caused by Your inability to access or use the Site or Service during any downtime or discontinuance of the Site or Service. Nothing in these Terms will be construed to obligate Honey Chat to maintain and support the Site or Service or to supply any corrections, updates, or releases in connection therewith.

17. Governing Law

These Terms shall be governed by and defined following the laws of Belize. Honey Chat and Yourself irrevocably consent that the courts of Belize shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Terms.

18. Dispute Resolution

You agree to irrevocably submit all disputes related to Terms or the relationship established by these Terms to the jurisdiction of the Belize courts. Honey Chat shall also maintain the right to bring proceedings as to the substance of the matter in the courts of the country where You reside or, if these Terms are entered into in the course of Your trade or profession, the state of Your principal place of business.

19. Miscellaneous

These Terms and any policies or operating rules posted by Honey Chat on the Site or Service or in respect to the Site or Service constitute the entire agreement and understanding between You and Honey Chat. Honey Chat´s failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. These Terms operate to the fullest extent permissible by law. Honey Chat may assign any or all of its rights and obligations to others at any time. Honey Chat shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond its reasonable control. If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between You and Honey Chat as a result of these Terms or use of the Site or Service. You agree that these Terms will not be construed against Honey Chat by virtue of having drafted them. You hereby waive any and all defenses You may have based on the electronic form of these Terms and the lack of signing by the parties hereto to execute these Terms.
